Frank Castle is a former Marine who returned from the war to a take on a life of normalcy. And one day that all came crashing down when his family accidentally witnessed a mob hit and they themselves became victims. Frank's wife and two children were killed, the man who was Frank Castle died and the man who survived would forever be known as The Punisher: judge, jury and executioner.
The Punisher became a vigilante, first hunting down the mobsters that killed his family, then taking down their organization, then going after all crime.
The higher ups in SHIELD keep their eye on him as they don't mind a little bit of help with what they consider the small criminals. The higher ups in G.I.*JOE keep their eye on him to make sure he doesn't suddenly show up with some kind of high tech weaponry that he shouldn't have.
Both SHIELD and the Joes have called upon Frank's services. He can get into places they can't and he can get the job done, their only problem is that sometimes he can become a bit of loose cannon and will do more damage than they needed him to. Often when working with SHIELD, Directory Fury will assign Black Widow to team up with him. Hawk will usually have Mainframe accompany him since the two served together in the war.
Both SHIELD and the Joes are odds with themselves because they know The Punisher is a criminal and has committed almost as many crimes as those he goes after, but he also a valuable asset.
